Non-Compete Agreement
Nondisclosure and Noncompetition – PART 1
(a) At all times while this agreement is in force and after its expiration or termination, [contractor name] agrees to refrain from disclosing [Jennifer Goodwin dba internetGIRLfriday.com]’s customer lists, trade secrets, or other confidential material. [Contractor name] agrees to take reasonable security measures to prevent accidental disclosure and industrial espionage.
(b) While this agreement is in force, the contractor agrees to use [his/her] best efforts to [provide virtual services] and to abide by the nondisclosure and noncompetition terms of this agreement; [Jennifer Goodwin dba internetGIRLfriday.com] agrees to compensate the contractor as follows: [payment of contractor’s invoices based on projects completed]. During this agreement or after expiration or termination of this agreement, [contractor name] agrees not to compete online with [Jennifer Goodwin dba internetGIRLfriday.com] for a period of [2] years and shall in no way contract with clients of [Jennifer Goodwin dba internetGIRLfriday.com]. Competition means owning or working for an active or past client of [Jennifer Goodwin dba internetGIRLfriday.com]. [Contractor name] agrees to pay liquidated damages in the amount of $[10,000] for any violation of the covenant not to compete contained in subparagraph (b) of this paragraph.

(a) After expiration or termination of this agreement, [contractor name] agrees to respect the confidentiality of

trademarks, and trade secrets, and not to disclose them to anyone. (b) [Contractor name] agrees not to make use of research done in the course of work done for [Jennifer Goodwin dba internetGIRLfriday.com] while employed or contracted by a competitor of [Jennifer Goodwin dba internetGIRLfriday.com] (c) [Contractor name] agrees not to set up in business as a direct competitor of [Jennifer Goodwin dba internetGIRLfriday.com] for a period of [2] years following the expiration or termination of this agreement. (d) [Contractor name] agrees to pay liquidated damages of $[10,000] if any violation of this paragraph is proved or admitted.

Covenant Not To Compete – PART 3
(a) [contractor name] agrees not to compete with [Jennifer Goodwin dba internetGIRLfriday.com] in the practice of [virtual assistance] while working for [Jennifer Goodwin dba internetGIRLfriday.com] and for a period of [2] years after termination of contracting with [Jennifer Goodwin dba internetGIRLfriday.com].
(b) For purposes of this covenant not to compete, competition is defined as soliciting or accepting employment or contract work, or rendering professional services to, any person or organization that is or was a client of [Jennifer Goodwin dba internetGIRLfriday.com] during the term of [contractor name]'s work with [Jennifer Goodwin dba internetGIRLfriday.com].
